Metana Affiliate Program Terms and Conditions

Please read this Terms and Conditions Agreement (“Agreement”) carefully, as it constitutes a legally binding agreement and applies to your participation in the Metana Affiliate Program (“Program”). The Program is offered through (a) metana.io and all corresponding domains, subdomains, web pages, and websites associated therewith (the “Site”), (b) any content, applications, features, functionality, communication platforms, information, and services offered on or through the Site in connection with the Program (collectively, the “Services”), which are provided by Metana (“Metana”, “we”, “us”, or “our”). Metana is owned and operated by Edmore (Private) Limited.

Acceptance of Terms

Users of the Services (“Affiliates” or “you”) include individuals and entities who apply to or participate in the Program. This Agreement applies to all Affiliates. By applying to the Program, creating an affiliate account, or using the Services, you acknowledge and agree to comply with this Agreement and our Privacy Policy (“Privacy Policy”), available at https://metana.io/privacy-policy/, which is incorporated into this Agreement by reference.

We may modify this Agreement from time to time by posting an updated Agreement on the Site with the updated date next to “Date of Publication.” We will provide notice of material changes by emailing you or notifying you upon login, at our discretion. Material changes will be notified via email at least 14 days in advance, and you may terminate this Agreement within the 14-day notice period if you disagree with the changes. Once changes are posted or made available, they become effective immediately, and your continued use of the Services signifies your agreement to be bound by such changes. Please review this Agreement regularly to stay informed of your rights and obligations.

Eligibility For Participation

To participate in the Program, you must be 18 years of age or older. By using the Services, you represent, warrant, and covenant to Metana that you meet these eligibility requirements and that your participation complies with all applicable laws, rules, and regulations.

Affiliate Registration

To participate in the Program, you must become a registered Affiliate (“Registered Affiliate”) by creating an affiliate account (“Affiliate Account”) using a unique email address and password combination (“Affiliate Credentials”), and provide certain additional information. You represent and warrant that all registration and account information you submit is truthful and accurate, and you shall maintain and promptly update the accuracy of such information.

  1. Affiliates may only operate one Affiliate Account. Creating or operating multiple accounts by the same individual or entity is prohibited and may result in termination.
  2. You are responsible for maintaining the confidentiality of your Affiliate Credentials and shall be liable for any access to or use of the Services by you or any person or entity using your Affiliate Credentials, whether authorized or not. Do not share your Affiliate Credentials with anyone, and use caution when accessing your Affiliate Account from public or shared computers.
  3. You agree to immediately notify Metana at [email protected] of any unauthorized use of your Affiliate Credentials or Affiliate Account, or any other breach of security.
  4. Metana reserves the right to deny access, use, or registration privileges if we question the identity of the person accessing any Affiliate Account or element of the Services.

Access To And Usage Of The Services

1. Metana reserves the right to withdraw or amend the Services in our sole discretion without notice, provided such discretion is exercised reasonably and in good faith. We will not be liable if all or any part of the Services is unavailable at any time or for any period.

2. We may restrict access to some or all parts of the Services to Registered Affiliates, as determined reasonably at our sole discretion. Affiliates are encouraged to report suspected violations of this Agreement confidentially to [email protected].

3. You agree to comply with any technology or restrictions (e.g., digital rights management) that protect the Services from unauthorized use and shall not attempt to violate such security components.

4. The Program allows Affiliates to earn commissions by referring users to Metana’s services, subject to the terms outlined in this Section 4.

5. Commission Structure

5.1. Affiliates will earn a commission of $5 for each Qualified Referral, as defined in Section 4.6, subject to the terms of this Agreement.

5.2. Commissions are paid monthly via electronic transfer (e.g., PayPal, bank transfer) to the account specified in your Affiliate Account, provided the minimum payout threshold is met (see Section 4.7).

6. Qualified Referrals

6.1. A “Qualified Referral” is a user who:

  • Signs up for a Metana service via your unique affiliate tracking link;
  • Is an applicant from an eligible country;
  • Earns over $30,000 annually;
  • Has booked a call with Metana;
  • Is not a self-referral or from a related party (see Section 4.9).

6.2. Metana reserves the right to review and approve Qualified Referrals to ensure compliance with this Agreement and applicable laws. “Related parties” include family members, friends, business associates, or entities controlled by the Affiliate.

7. Payout Threshold

7.1. Affiliates must accrue at least $50 in commissions before a payout is processed. Unpaid commissions below this threshold will remain in your Affiliate Account until the threshold is met.

7.2. Payouts are processed within 30 days of the end of the month in which the threshold is met, subject to verification of Qualified Referrals.

8. Tracking Duration

8.1. Referrals are tracked using a cookie with a 60-day duration from the date a user clicks your affiliate tracking link. Commissions are only earned for Qualified Referrals completed within this 60-day period.

9. Self-Referrals and Related Parties

9.1. Self-referrals and referrals from related parties are strictly prohibited unless explicitly permitted by Metana in writing.

10. Promotional Methods

10.1. Affiliates must promote Metana’s services using organic methods that comply with applicable laws, including FTC guidelines and anti-spam regulations. Approved platforms include:

  • Content Websites and Blogs
  • Social Media Platforms: Facebook, Instagram, YouTube, TikTok, Pinterest, X (formerly Twitter), LinkedIn
  • Email Marketing
  • Podcasting
  • Online Communities and Forums
  • Q&A Websites
  • Guest Blogging

10.2. Prohibited promotional methods include, but are not limited to:

  • Paid advertising using Metana’s brand name or trademarks
  • Spamming or unsolicited communications
  • Misleading or false claims about Metana’s services

10.3. Affiliates must submit promotional materials for approval if requested by Metana. Contact [email protected] for approval requests.

11. Refunds and Cancellations

11.1. If a Qualified Referral results in a refund or cancellation, any associated commission will be deducted from your Affiliate Account. If the commission has already been paid, it may be offset against future payouts.

Term and Termination

This Agreement shall remain in effect while you use the Services. Metana may terminate this Agreement or suspend your participation in the Program at any time for violations of this Agreement, Metana’s policies, or applicable laws, including but not limited to unauthorized use of the Services, breach of confidentiality, illegal activities, or non-compliance with Section 4 (e.g., prohibited promotional methods, self-referrals). Upon termination, your access to the Services will cease, and your obligations under this Agreement and the Privacy Policy, including indemnifications and limitations of liability, shall remain in effect. Metana shall have no further liability or responsibility to you after termination.

Intellectual Property

The content available through the Services, excluding User Content or Third-Party Content, includes but is not limited to text, software, graphics, logos, and interactive features (“Content”). Certain names, logos, design marks, trademarks, and service marks displayed through the Services (“Marks”) are owned by Metana, its affiliates, or licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws.

Unless explicitly authorized by this Agreement, you agree not to copy, download, upload, publish, modify, reverse engineer, or exploit the Services, Content, or Marks for any purpose. The Services are for your personal, non-commercial use in connection with the Program, and you must not remove or alter any copyright, trademark, or proprietary notices.

User Content

The Services may allow Affiliates to post, share, or submit comments, messages, or other materials (“User Content”), which may be accessible to other users. By submitting User Content, you grant Metana, its affiliates, successors, and assigns a non-exclusive, fully-paid, royalty-free, transferable, irrevocable, perpetual, worldwide license to use, display, distribute, reproduce, edit, modify, and create derivative works from your User Content in any medium for any purpose.

You agree that you have no expectation of privacy or confidentiality in User Content and that no confidential or fiduciary relationship is created by submitting User Content. You are solely responsible for your User Content and represent and warrant that it does not infringe any third-party rights or violate applicable laws. Metana reserves the right to review, pre-screen, or remove User Content for any reason, including non-compliance with this Agreement, but assumes no obligation to do so.

You may not submit User Content that is unlawful, harmful, abusive, defamatory, obscene, or otherwise objectionable, or that contains viruses or other harmful code.

Third-Party Services

The Services may integrate third-party features, such as payment processors or analytics tools (“Third-Party Services”). By using such features, you agree that Metana may transmit relevant information to these Third-Party Services, as outlined in our Privacy Policy. Links to Third-Party Services do not constitute an endorsement by Metana, and we are not responsible for their content, practices, or privacy policies. Your interactions with Third-Party Services are at your own risk.

Feedback

By providing feedback about the Program or Services, including ideas, comments, or suggestions (“Feedback”), you agree that Metana may use Feedback for any purpose without restriction. You have no expectation of compensation or confidentiality for Feedback and waive any claims related to its use.

Metana Communications

The Services may allow you to post messages or communicate with Metana or other Affiliates. All such communications are considered User Content and are subject to this Agreement. Communications are public, not private, and are not pre-screened by Metana, though we reserve the right to monitor or remove them.

Registered Affiliates consent to receive notices, including emails and in-Site messages, related to their Affiliate Account and the Program. You may opt out of promotional emails by following unsubscribe instructions, but you cannot opt out of administrative or transactional notices (e.g., account updates). Electronic notices satisfy any legal requirement for written communication. To withdraw consent for electronic notices, email [email protected] and provide a current mailing address.

Modifications to Services

Metana reserves the right to modify or discontinue the Services at any time, with or without notice, provided such actions are taken reasonably and in good faith. If the Program is discontinued, Metana will honor obligations for valid referrals made prior to discontinuation, as outlined in Section 4, subject to the termination provisions in Section 5. Metana shall not be liable for any resulting changes or disruptions.

Monitoring of the Services

Metana assumes no responsibility for monitoring the Services for inappropriate content or conduct but reserves the right to review, remove, or edit User Content at its sole discretion. Metana may access, preserve, or disclose your Affiliate Account information if required by law or to enforce this Agreement, respond to claims, or protect Metana’s rights, property, or safety.

Reporting Unauthorized Content

Metana respects intellectual property rights and responds to claims of copyright infringement under the Digital Millennium Copyright Act (“DMCA”). If you believe content on the Services infringes your copyright, submit a written notification to our Designated Agent with:

  • A physical or electronic signature of the authorized person.
  • Identification of the copyrighted work.
  • Identification of the infringing material and its location.
  • Your contact information.
  • A statement of good faith belief that the use is unauthorized.
  • A statement under penalty of perjury that the information is accurate.

If your content is removed and you believe it was non-infringing, you may submit a counter-notice with your signature, identification of the removed content, a statement of good faith belief, and your contact information. Metana may restore content after 10–14 business days unless the copyright owner seeks a court order.

You may be liable for damages if you misrepresent infringement claims.

Indemnity

You agree to indemnify, defend, and hold Metana, its affiliates, and their respective successors, directors, officers, employees, agents, licensors, advertisers, suppliers, and service providers harmless from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, breach of this Agreement, or User Content. Metana may assume control of any matter subject to indemnification, and you agree to cooperate fully.

Disclaimer of Warranties; Limitation of Liability

The Services are provided “as is” and “as available,” without any warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Metana does not guarantee the accuracy, completeness, or reliability of the Services or any content, nor their availability or performance. You assume all risks related to the quality, accuracy, security, and validity of the Services.

To the fullest extent permitted by law, Metana, its affiliates, and their respective successors, officers, directors, employees, agents, licensors, advertisers, and suppliers shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from your use of the Services or this Agreement. Metana’s liability, if any, shall be limited to the fullest extent permitted by applicable law.

Some jurisdictions may not allow certain warranty exclusions or liability limitations, so these may not apply to you.

Limitation on Time to File Claims

Any action arising out of this Agreement or the Services must be brought within one year after the cause of action arises, or it will be barred.

Geographic Restrictions

The Services are controlled and operated by Metana from the United States. The Program is open to Affiliates in countries where the Services are legally accessible, and you are responsible for ensuring compliance with local laws. Metana makes no representation that the Services are appropriate or available in all jurisdictions. You access the Services at your own risk.

General

  1. If any provision of this Agreement is held to be illegal, invalid, or unenforceable, the remaining provisions shall remain in effect, and the Agreement shall be amended to be legal, valid, and enforceable. The terms “include,” “includes,” and “including” mean “include, but are not limited to,” and are inclusive.
  2. Metana’s failure to enforce any right or provision shall not constitute a waiver. This Agreement may not be assigned by you but may be assigned by Metana, provided the assignee assumes all obligations under this Agreement.
  3. All matters related to the Services and this Agreement shall be governed by the laws of the State of California, without regard to conflict of law principles. Disputes shall first be addressed through non-binding mediation in San Francisco, California. If unresolved, to the extent permitted by local law, disputes will proceed to binding arbitration in San Francisco, California, which will be conducted virtually by default for efficiency and accessibility. Affiliates may request in-person arbitration, which Metana will consider in good faith based on the Affiliate’s circumstances (e.g., location, accessibility needs), subject to mutual agreement and local law. Any legal action shall be brought exclusively in the state or federal courts of San Francisco, California.
  4. Disputes over the interpretation of “reasonable and good faith” standards in this Agreement shall be resolved through the mediation and arbitration process outlined in Section
  5. This Agreement constitutes the entire understanding between you and Metana concerning the Services and supersedes all prior agreements.
